2、rtyBasitsPurchasingAgency,purchasingthegoodsas_二、甲方应在实际进口之前将进口详细计划告之乙方，并提供产品的品名、数量、重量、价格、产地，以便乙方及时开始准备工作，甲方应保证上述资料完整准确。Beforeimporting,PartyAshallprovidefullandspecificimportplantoPartyB,includingtheproductname,prices,quantity,specifications,qualityofgoodsandplaceoforigin,thenPartyBcanstarttheirprep
3、arationwork.PartyAshallensuretheaccuracyofalltheseinformation.三、甲方应积极配合乙方做好通关手续（随时提供海关所需资料），并提供必要协助。PartyAshallprovidealltherequireddocumentsatalltimeswhenrequiredbythecustomsauthoritiesandshallhelpPartyBwithcustomsclearance.四、乙方应于每笔付款事项前一日向甲方发出资金使用计划，甲方确认无误后将每笔支付款的配套人民币（汇率暂按计算，实际汇率按购汇日银行公布的汇率牌价多退少补
4、电汇到乙方的开户行账号。乙方负责在收到上述款项后的_日内，办理税务证明、购汇和按外贸合同约定及时对外付汇,并在货物清关后一日内向甲方开具发票，海关完税凭证和国外发票的正本，以便甲方办理入库验收及财务核销。PartyBshallsendPartyAtheplanfortheuseoffundsonthedaybeforeeachpayment.AfterPartyAconfirmsitscorrectness,itwillcalculatethecorrespondingRMBforeachpayment(theexchangerateistemporarilycalculatedaccord
5、ingto,andtheactualexchangeratewillberefundedtothebankaccountofPartyBaccordingtotheexchangeratepriceannouncedbythebankatthedateofpurchase.PartyBshallberesponsibleforhandlingtaxcertificates,purchasingforeignexchangeandtimelypaymentofforeignexchangeinaccordancewiththecontractofforeigntradewithin_daysaf
6、terreceivingtheabove-mentionedpayment.Andwithin_daysafterthegoodsarecleared,theinvoicewillbeissuedtoPartyA,theoriginalcustomstaxpaymentcertificateandtheoriginaloftheforeigninvoice,sothatPartyAcanhandletheacceptanceinspectionandfinancialverification.五、代理费以合同总金额的_%计取，以人民币支付，汇率暂按计算,实际汇率按购汇日中国人民银行公布的人民币

8、ledoneachpayment.六、商品通关报检事宜由乙方负责处理，在通关过程中发生的费用，如仓费、法定商检费、查验费、保险费、运杂费等(以海关、商检、船务、运输公司开据的发票为准)，由乙方负责结算。PartyBshallberesponsibleforthecustomsclearanceandinspectionofgoods.TheexpensesincurredinthecourseofhandlingcustomsclearancefortheimportedGoods,includingbutnotlimitedtostoragefees,quaratinefees,inspec
9、tionfees,insurancesandmiscellaneous(onthebasisofinvoicesissuedbyCustoms,CommodityInspectionBureau,ShippingDepartment,TransportationCorporation)shallbebornebyPartyB.七、乙方仅承担代理进口该商品的义务，其权利义务受且仅受本代理协议约束。在代理过程中对于经甲方指示或确认而由乙方以自己名义代为签定的一系列形式合同，乙方不负任何责任，而由甲方作为委托人承担。对于甲方与实际进口商等发生的一切争议，(如产品质量、数量、规格、交货期等)，乙方概不
10、负责。BothpartiesunderstandthatPartyBisanindependentimportagentofPartyA.NoemployeeofPartyBshallbedeemedtobeanemployeeofPartyA.NothingwritteninthisAgreementshallbeconstruedsoastocreateapartnershiporjointventure;andneitherPartyheretoshallbeliableforthedebtsorobligationsoftheotherparty.PartyBshallbearnoli
11、abilityforanycontactssignedonbehalfofPartyA.PartyBshallbearnoliabilityforthedisputesarisingbetweenPartyAandtheactualusersoftheGoodswithrespecttothequality,quantity,specificationsanddeliverydateoftheGoods.八、违约责任1.IABI1.ITIESFORBREACHOFCONTRACT如果本协议任一方未能履行本协议的全部或任一条款、或者以其他方式违反本协议，该方应向另一方承担应履行不能或违约而给对方
12、造成的损失。所有应此履行不能或违约而造成的间接或偶然损害或损失应排除在外。本协议以及中国民法典规定的、守约方对违约方的其他任何权利不受影响。IfeitherPartytothisAgreementfailstofulfillalloranyobligation(三)underthisAgreementorcommitsanyotherbreachofthisAgreement,itshallbeliabletotheotherPartyforalldirectlossesordamagescausedbysuchfailureorbreach.Anyliabilityforindirect,c
13、onsequentialorincidentaldamagesorlossescausedbysuchfailureorbreachshallbeexcluded.AnyotherrightsofthePartyabidingtheAgreementagainstthebreachingPartyunderthisAgreementandthePRCContract1.awshallnotbeaffected.九、不可抗力条款FORCEMAJEURE因不可抗力造成无法履行或不能如期履行本协议时，根据不可抗力的实际影响，部分或全部免除未能履行协议一方的责任。Ifaneventofforcemaj
14、eureoccurs,neitherPartyshallberesponsibleforanydamage,increasedcostsorlosswhichtheotherPartymaysustainbyreasonofsuchfailureordelayofperformance.ThePartyclaimingforcemajeureshalltakeappropriatemeasurestominimizeorremovetheeffectofforcemajeureand,withintheshortestpossibletime,attempttoresumeperformanc
15、eoftheobligation(三)affectedbytheeventofforeemajeure.十、文字及效力EFFECTlVENESS本协议以中英文双语形式签署，均具备同等法律效力；若协议中中英文出现不一致或矛盾的地方，以中文为准。ThisAgreementissignedinbothChineseandEnglishandhasthesamelegaleffects;ifthereisanyinconsistencyorcontradictionbetweentheChineseandEnglishintheagreement,theChineseversionshallpreva

17、共和国法律，若有其他未尽事宜，在双方友好协商未果时直接适用相关法律、法规的规定。ThisAgreementshallbegovernedbythelawsofthePeoplesRepublicofChina.Ifthereareothermattersnotcovered,therelevantlawsandregulationsshallbedirectlyappliedwhenthefriendlynegotiationbetweenthetwopartiesfails.十二、仲裁条款ARBITRATlONC1.AUSES凡因本合同引起的或与本合同有关的任何争议，均应提交北京仲裁委员会仲
18、裁。AlldisputesarisingfromorinconnectionwiththiscontractshallbesubmittedtoBeijingArbitrationCommissionforarbitrationinaccordancewithitsrulesofarbitrationineffectatthetimeOfapplyingforarbitration.TheseatofarbitrationshallbeBeijing.Thearbitralawardisfinalandbindinguponbothparties.十三、附则SUPP1.EMENTARYC1.A
