PartyCisadulyqualifiedandauthorizedpaymentserviceproviderwiththeabilityandresourcestoconductthepaymentoperationsasdescribedherein.丙方是一家具备相应资质和授权的支付服务提供商，有能力和资源开展本协议所述的支付业务。NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforthandforothergoodandvaluableconsideration,the
6、receiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:因此，基于以下相互承诺和约定以及其他良好且有价值的对价（其收受及充分性特此确认），双方达成如下协议：Article 1: PaymentInstructions第一条：付款指令1. PartyBherebyauthorizesPartyCtodebittheamountspecifiedinthepaymentinstructions（hereinafterreferredtoasthePaymentAmount11）fromPart
7、yB,sdesignatedaccountandtransferittoPartyAlsaccountasinstructedbyPartyB.ThePaymentAmountshallbedeterminedinaccordancewiththetermsandconditionsoftheUnderlyingTransactionbetweenPartyAandPartyB.乙方特此授权丙方从乙方指定账户中扣除付款指令中规定的金额（以下简称付款金额）,并按照乙方的指示将其转账至甲方账户。付款金额应根据甲方与乙方之间基础交易的条款和条件确定。2. PartyBshallensurethatt
8、herearesufficientfundsinthedesignatedaccounttocoverthePaymentAmountatthetimeofthedebit.Incaseofinsufficientfunds,PartyCshallhavetherighttorejectthepaymentrequestandnotifybothPartyAandPartyBaccordingly.乙方应确保在扣款时指定账户中有足够资金支付付款金额。如资金不足，丙方有权拒绝付款请求并相应通知甲方和乙方。Article 2: PaymentTermsandTimeline第二条：付款条款和时间安

ThepaymentshallbemadewithinXbusinessdaysafterPartyBhassubmittedthevalidpaymentinstructionstoPartyCandallnecessaryapprovalsandverificationshavebeencompleted.PartyCshalluseitsreasonableeffortstoexpeditethepaymentprocessandkeepPartyAandPartyBinformedofthepaymentstatus.在乙方将有效付款指令提交给丙方且所有必要的审批和核实完成后，
10、付款应在X个工作日内完成。丙方应尽合理努力加快付款流程，并向甲方和乙方通报付款状态。2. ThepaymentshallbesubjecttotheapplicablefeesandchargesofPartyCasdisclosedinitsfeeschedule.PartyBagreestopaysuchfeesandchargesinaccordancewithPartyC,srequirements.PartyAandPartyBacknowledgethatthefeesandchargesmaybedeductedfromthePaymentAmountbeforeitistran
11、sferredtoPartyA,saccount.付款应按照丙方费用表中披露的适用费用和收费标准执行。乙方同意按照丙方要求支付此类费用。甲方和乙方知悉，费用和收费可能在付款金额转账至甲方账户前从其中扣除。Article 3: RepresentationsandWarranties第三条：陈述与保证1. PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoreceivethepaymentandthattheinformationprovidedtoPartyBandPartyCregardingthepaymentde
12、tailsanditsaccountisaccurateandcomplete.甲方陈述并保证其拥有接收付款的合法权利和授权，且向乙方和丙方提供的有关付款细节及其账户的信息是准确和完整的。2. PartyBrepresentsandwarrantsthatithasthelegalrightandobligationtomakethepaymentunderthetermsoftheUnderlyingTransactionandthatthefundstobeusedforthepaymentareobtainedlegallyandarefreefromanyliens,encumbran
13、ces,ordisputes.乙方陈述并保证其根据基础交易条款拥有付款的合法权利和义务，且用于付款的资金系合法取得，不存在任何留置权、产权负担或争议。3. PartyCrepresentsandwarrantsthatitisdulylicensedandregulatedtoprovidethepaymentservicescontemplatedhereinandthatitwillcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsobligationsunderthisAgre
14、ement.丙方陈述并保证其已获得提供本协议所述支付服务的正式许可并受监管，且在履行本协议义务时将遵守所有适用法律、法规和行业标准。Article 4: Confidentiality第四条：保密条款1. ThepartiesheretoagreetokeepconfidentialallinformationanddataexchangedorobtainedinconnectionwiththisAgreementandthepaymentprocess.SuchconfidentialityobligationsshallsurvivetheterminationofthisAgreem
15、entforaperiodofXyears.双方同意对与本协议及付款流程相关的所有信息和数据予以保密。此类保密义务在本协议终止后仍应持续X年。2. Notwithstandingtheabove,thepartiesmaydisclosesuchinformationasrequiredbylaw,regulatoryauthorities,orinconnectionwithalegalproceeding.However;thedisclosingpartyshallnotifytheotherpartiesinwritingassoonasreasonablypracticablepri

17、utoforinconnectionwithanybreachofthisAgreementbyPartyBzincludingbutnotlimitedtoanyincorrectorunauthorizedpaymentinstructions,insufficientfunds,oranyotheractoromissionofPartyB.乙方应就因乙方违反本协议而产生或与之相关的任何及所有索赔、损失、损害、责任、成本和费用（包括但不限于律师费和诉讼费）向甲方和丙方进行赔偿并使其免受损害，包括但不限于任何错误或未经授权的付款指令、资金不足或乙方的任何其他作为或不作为。2. PartyA
18、shallindemnifyandholdharmlessPartyBandPartyCfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyPartyA,includingbutnotlimitedtoanymisrepresentationorwarrantyregardingthepaymentdetailsoritsaccount,oranyotheractoromissionofP
19、artyA.甲方应就因甲方违反本协议而产生或与之相关的任何及所有索赔、损失、损害、责任、成本和费用向乙方和丙方进行赔偿并使其免受损害，包括但不限于任何关于付款细节或其账户的虚假陈述或保证，或甲方的任何其他作为或不作为。3. PartyCshallindemnifyandholdharmlessPartyAandPartyBfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyPartyCzi
20、ncludingbutnotlimitedtoanyfailuretoperformitspaymentservicesinaccordancewiththisAgreement,anysecuritybreachorlossofpaymentdata,oranyotheractoromissionofPartyC.丙方应就因丙方违反本协议而产生或与之相关的任何及所有索赔、损失、损害、责任、成本和费用向甲方和乙方进行赔偿并使其免受损害，包括但不限于任何未能按照本协议履行其支付服务、任何安全漏洞或支付数据丢失，或丙方的任何其他作为或不作为。Article 6: Termination第六条：协议
21、终止1. ThisAgreementmaybeterminatedbymutualwrittenagreementoftheparties.本协议可经双方书面协议终止。2. Inaddition,eitherPartyAorPartyBmayterminatethisAgreementuponwrittennoticetotheotherpartiesiftheotherpartymateriallybreachesthisAgreementandfailstocuresuchbreachwithinXdaysafterreceivingwrittennoticethereof.此外，如果另一
22、方严重违反本协议且在收到书面通知后X天内未能补救该违约行为，甲方或乙方均可书面通知其他各方终止本协议。3. UponterminationofthisAgreement,thepartiesshallcooperateingoodfaithtocompleteanyoutstandingpaymentobligationsandtoreturnordestroyanyconfidentialinformationintheirpossession.本协议终止后，双方应真诚合作完成任何未履行的付款义务,并返还或销毁其持有的任何保密信息。Article 7: GoverningLawandDisp
23、uteResolution第七条：适用法律和争议解决1. ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofJurisdiction.本协议应受司法管辖区法律管辖并依其解释。2. Anydispute,controversy,orclaimarisingoutoforinconnectionwiththisAgreementshallbefirstsubmittedtoamicablenegotiationbetweentheparties.Ifthenegotiationfailstoresolvethedi
24、sputewithinXdays,thedisputeshallbefinallyresolvedbyarbitrationinaccordancewiththearbitrationrulesofArbitrationInstitution.ThearbitrationshalltakeplaceinArbitrationLocation,andthelanguageofthearbitrationshallbeLanguage.Thearbitralawardshallbefinalandbindingupontheparties.因本协议产生或与之相关的任何争议、纠纷或索赔应首先提交双方
25、友好协商。如果协商在X天内未能解决争议，则争议应最终按照仲裁机构仲裁规则通过仲裁解决。仲裁应在仲裁地点进行，仲裁语言为语言。仲裁裁决应为终局性的,对双方具有约束力。Article 8: Miscellaneous第八条：其他条款1. ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,understandings,negotiations,anddiscussi
26、ons,whetheroralorwritten.本协议构成双方关于本协议主题事项的完整协议，并取代所有先前及同期的协议、谅解、谈判和讨论，无论是口头还是书面的。2. AnyamendmentormodificationtothisAgreementshallbeinwritingandsignedbyallpartieshereto.对本协议的任何修订或修改应以书面形式作出并由本协议各方签署。3. ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethers
27、hallconstituteoneandthesameinstrument.本协议可签署多份副本，每份均应视为正本，但所有副本共同构成同一文件。4. TheheadingsandcaptionsusedinthisAgreementareforconvenienceonlyandshallnotbeconstruedtolimitorotherwiseaffectthemeaningorinterpretationoftheprovisionsherein.本协议中使用的标题和小标题仅为方便起见，不应被解释为限制或以其他方式影响本协议条款的含义或解释。INWITNESSWHEREOF,thep
